Union Bank of Nigeria Plc has announced the successful and final completion of its merger with Titan Trust Bank Limited, following the receipt of all requisite regulatory approvals from the Central Bank of Nigeria (CBN) and the Securities and Exchange Commission (SEC). This landmark transaction, one of the most significant in Nigeria’s financial services history, sees the full absorption of Titan Trust Bank’s operations and assets into the century-old institution, which will continue to operate under the revered Union Bank brand.
The acquisition, which commenced with a Share Sale Agreement in December 2021, reached a pivotal stage in June 2022 when Titan Trust Bank completed the acquisition of a 93.41% controlling stake in Union Bank. This block trade was executed for a total value of approximately ₦191 billion (US$461 million), making it a record-setting deal in the Nigerian capital market.
Following the initial acquisition, Titan Trust Bank launched a Mandatory Takeover Offer (MTO) for the outstanding minority shares. The offer, priced at ₦7.00 per share, provided a strategic exit for minority shareholders and represented a significant premium to the trading price of Union Bank’s stock (NGX: UBN) at the time of the transaction. This final consolidation culminated in the successful delisting of Union Bank’s shares from the Nigerian Exchange Group (NGX) in November 2023, and the formal conclusion of the merger process in December 2023.

Founded in 1917, Union Bank has built over a century of public trust, an expansive customer base, and a physical network that includes over 293 service centres and 937 ATMs nationwide.
